1. Acceptance of Terms
By creating an account, accessing, or using the GiraffyReach platform and any related services (the "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization. If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time; continued use of the Service after changes take effect constitutes acceptance.
2. Eligibility
You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that: • You are at least 16 years old. • You have the legal capacity to enter into a binding agreement. • Your use of the Service does not violate any applicable law or regulation. • You are not located in a country subject to a U.S. government embargo or designated as a "terrorist-supporting" country, and you are not on any U.S. government prohibited-party list. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.
3. Your Account
3.1 Registration. To access most features you must create an account with accurate, complete, and current information. You agree to keep your account information up to date. 3.2 Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@giraffyreach.com if you suspect unauthorized access. 3.3 One Account Per User. You may not create multiple accounts for the same individual. We reserve the right to merge or terminate duplicate accounts. 3.4 Account Termination. You may delete your account at any time from your account settings. We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if required by law.
4. Description of the Service
GiraffyReach provides a platform that: • Continuously monitors employer career pages and public job feeds to surface new job listings in real time. • Generates tailored resumes and cover letters using artificial intelligence based on your profile data and target role. • Sends personalized outreach messages to recruiters and hiring managers on your behalf when you enable this feature. • Tracks the status of your job applications and email outreach in a unified dashboard. The Service is designed to assist you in your job search. It does not guarantee employment, interview invitations, responses from employers, or any specific outcome. Results will vary based on factors outside our control including, but not limited to, job market conditions, employer preferences, and the accuracy of information you provide.
5. Automated Outreach Feature
5.1 Your Authorization. By enabling the automated outreach feature, you expressly authorize GiraffyReach to compose and send emails and messages on your behalf using your name, contact details, and profile data. 5.2 Your Responsibility. You are solely responsible for the content and recipients of all outreach sent on your behalf. You agree that outreach will: • Be sent only to individuals and companies with whom you have a genuine professional interest. • Not constitute spam, harassment, or unsolicited commercial messaging in violation of applicable law (including CAN-SPAM, CASL, or GDPR). • Not include false, misleading, or defamatory statements. 5.3 Compliance. You agree to comply with all applicable laws governing electronic communications in your jurisdiction. GiraffyReach is a tool — you bear legal responsibility for how you use it. 5.4 Disabling Outreach. You may disable automated outreach at any time from your dashboard. Disabling will halt future messages but will not retract messages already sent.
6. Acceptable Use Policy
You agree not to use the Service to: • Violate any applicable local, state, national, or international law or regulation. • Impersonate any person or entity, or falsely represent your affiliation with any person or entity. • Harvest or scrape data from our platform through automated means without our prior written consent. • Attempt to gain unauthorized access to any portion of the Service, other user accounts, or our infrastructure. • Upload viruses, malware, or any malicious code. • Interfere with or disrupt the integrity or performance of the Service. • Reverse engineer, decompile, or disassemble any portion of the Service. • Resell, sublicense, or commercialize access to the Service without our written authorization. • Use the Service for any purpose that is harmful, fraudulent, deceptive, threatening, abusive, or tortious. • Submit false or misleading information about your work history, credentials, or identity. Violation of this policy may result in immediate account suspension and referral to appropriate authorities.
7. Intellectual Property
7.1 Our Property. The Service, including its technology, algorithms, design, text, graphics, logos, and other content, is owned by GiraffyReach and protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your personal job-search purposes as permitted by these Terms. 7.2 Your Content. You retain ownership of all content you submit to the Service, including your resume, work history, and profile data ("User Content"). By submitting User Content, you grant GiraffyReach a non-exclusive, worldwide, royalty-free license to use, store, process, and reproduce that content solely to provide and improve the Service. 7.3 Feedback. If you submit ideas, suggestions, or other feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you. 7.4 Restrictions. You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying software, nor may you attempt to extract the source code.
8. AI-Generated Content
The Service uses artificial intelligence to generate resumes, cover letters, and outreach messages. You acknowledge and agree that: • AI-generated content is provided as a draft for your review. You are responsible for reviewing, editing, and approving all content before use. • GiraffyReach does not guarantee that AI-generated content is accurate, complete, or free from errors or biases. • You must not represent AI-generated content as having been written entirely by you when accuracy is legally or professionally material (e.g., in sworn certifications). • GiraffyReach is not liable for any consequences arising from your use of AI-generated content, including rejection by employers, reputational harm, or legal claims.
9. Third-Party Services and Links
The Service may integrate with or link to third-party platforms including job boards, applicant tracking systems, and email providers. We do not control, endorse, or assume responsibility for third-party content, services, or privacy practices. Your use of third-party services is governed by their respective terms and privacy policies. When you connect a third-party account (e.g., Gmail, LinkedIn) you authorize us to access that account as described in our Privacy Policy and only to the extent necessary to deliver the features you enable.
10. Subscriptions and Payment
10.1 Subscription Plans. Certain features are available only through paid subscription plans. Current pricing, plan features, and billing cycles are described on our Pricing page and may be updated from time to time. 10.2 Billing. Subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method on a recurring basis. 10.3 Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods unless required by applicable law. 10.4 Free Trials. If we offer a free trial, your subscription will automatically convert to a paid plan at the end of the trial unless you cancel before the trial expires. 10.5 Price Changes. We may change subscription prices at any time. We will provide at least 30 days' advance notice of price increases to active subscribers. Continued use after the notice period constitutes acceptance of the new price. 10.6 Taxes. Displayed prices exclude applicable taxes, which will be added at checkout based on your location.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, GIRAFFYREACH EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING: • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS. • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF JOB LISTINGS, EMPLOYER DATA, OR AI-GENERATED CONTENT. • WARRANTIES THAT THE SERVICE WILL RESULT IN EMPLOYMENT, INTERVIEWS, OR RESPONSES FROM EMPLOYERS. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GIRAFFYREACH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY: • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES. • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES. • DAMAGES ARISING FROM YOUR RELIANCE ON AI-GENERATED CONTENT. • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA. IN NO EVENT SHALL GIRAFFYREACH'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO GIRAFFYREACH IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF GIRAFFYREACH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13. Indemnification
You agree to defend, indemnify, and hold harmless GiraffyReach and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: • Your use of or inability to use the Service. • Your violation of these Terms. • Your violation of any third-party right, including intellectual property, privacy, or publicity rights. • Content you submit, post, or transmit through the Service. • Outreach messages sent on your behalf that violate applicable law.
14. Dispute Resolution and Governing Law
14.1 Governing Law. These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. 14.2 Informal Resolution. Before filing a formal claim, you agree to try to resolve disputes informally by contacting us at support@giraffyreach.com. We will try to resolve the dispute within 30 days. 14.3 Arbitration. If informal resolution fails, any dispute arising from or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except as provided below. The arbitration will be conducted remotely. 14.4 Class Action Waiver. You waive the right to participate in class-action lawsuits or class-wide arbitration against GiraffyReach. Each party may bring claims only in its individual capacity. 14.5 Exceptions. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property infringement or unauthorized access. 14.6 Residents of the EU/UK. Notwithstanding the above, if you are a consumer resident of the European Union or United Kingdom, you retain the right to bring proceedings in the courts of the country where you reside.
15. Termination
Either party may terminate the relationship governed by these Terms at any time. You may terminate by deleting your account and ceasing use of the Service. We may terminate or suspend your access immediately and without notice if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent or illegal activity, or pose a risk to other users or the integrity of the platform. Upon termination: your right to use the Service ceases immediately; your data will be handled per our Privacy Policy; provisions that by their nature should survive termination (including Sections 7, 11, 12, 13, 14) will survive.
16. General Provisions
16.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and GiraffyReach regarding the Service and supersede all prior agreements. 16.2 Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. 16.3 Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. 16.4 Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, or sale of assets. 16.5 Notices. We may provide notices via email, platform notification, or by posting on our website. Notices to us must be sent to support@giraffyreach.com. 16.6 Force Majeure. We are not liable for failures or delays caused by circumstances beyond our reasonable control, including natural disasters, cyberattacks, internet outages, or government actions.
